Binance Invests $100 Million In Circle to Boost a Five-Year USDC Alliance

Crypto exchange Binance has forged a partnership deal with the publicly-traded stablecoin issuer Circle. This five-year agreement aims to expand USDC’s usage in various markets.

As part of the deal, Binance is investing $100 million into Circle shares, linking their commercial cooperation to a direct equity stake.

Circle, on its part, will compensate Binance for promoting USDC through its wallet infrastructure.

Binance Enters 5-Year Deal With Circle

Circle announced on September 22 that its subsidiaries entered into a five-year agreement with Binance on September 17 to enhance the adoption of USDC. This new agreement replaces earlier contracts signed in November 2024 and August 2025.

Under the new terms, Circle will pay Binance monthly incentive fees based on a percentage of USDC held through Circle’s Modular Smart Contract Wallet infrastructure service. In exchange, Binance will conduct additional promotional activities across its platform, increasing USDC’s visibility among users and businesses worldwide.

The five-year term provides both companies with an extended opportunity to develop USDC activities, although the specific incentive percentages have not been disclosed at this time. Circle’s filing indicates that early termination is possible under certain circumstances, meaning the agreement does not guarantee uninterrupted cooperation over the entire five years.

Nonetheless, this arrangement links Binance’s promotional efforts directly to actual USDC balances, establishing a commercial connection between distribution and usage.

Binance Buys $100M Circle Stake

In a separate deal on September 17, Binance purchased 1,237,011 new Circle Class A common shares for $80.84 per share, totaling $100 million. The transaction was completed on the same day, granting Binance a direct ownership stake in Circle.

Circle described these shares as privately issued securities, purchased by Binance at a discounted price under a subscription agreement. The shares are generally subject to a two-year transfer restriction, which limits Binance’s ability to sell, transfer, pledge, or otherwise dispose of them. 

This restriction includes specified early-termination provisions and exceptions, while Binance retains applicable shareholder rights throughout the two-year restricted period. However, the agreement does allow for specific exceptions, including transfers involving affiliates and transactions related to qualifying corporate events or legal requirements. 

By combining this investment with the commercial agreement, Binance becomes both a significant USDC distribution partner and a shareholder in Circle.
