Evernorth has postponed its expected XRPN Nasdaq debut to October 12, citing an administrative delay in its merger timetable. According to Evernorth’s October 6 regulatory filing, management expects the business combination with Armada to close around October 9. The company does not expect the administrative issue to affect completion, although customary closing conditions still apply.
Its revised timetable separates the anticipated Friday merger closing from the expected Monday launch of trading on Nasdaq. Previously, Evernorth targeted October 7 for completing the transaction and October 8 for the start of XRPN trading.
The change shifts the anticipated stock market debut by four days, moving it beyond the original Thursday schedule. Management has described October 9 and October 12 as expected dates, with completion still dependent on outstanding requirements.
Armada Acquisition Corp. II shareholders approved the business combination during their extraordinary general meeting on September 30. Following completion, the combined business plans to operate as Evernorth Holdings, with Class A shares trading under XRPN.
Earlier, the SEC declared Evernorth’s registration statement effective on August 27, enabling the companies to proceed with shareholder voting. Shareholder approval completed a key transaction milestone, while the updated filing sets out the remaining anticipated schedule. Evernorth also lists compliance with applicable exchange listing standards among factors that could affect its planned market debut.

Evernorth Targets 473 Million XRP Treasury With Approximately $300 Million in Cash Proceeds
Evernorth expects to hold approximately 473 million XRP when the transaction closes, including tokens contributed directly by investors. Management expects those holdings to establish the largest publicly traded corporate treasury dedicated exclusively to XRP.
Its October 1 announcement projected approximately $300 million in gross cash proceeds from the transaction before expenses. Related private placements account for $225 million, while incremental convertible note financing contributes another $30 million to that estimate.
Approximately $48 million in Armada’s trust proceeds represents another component of the anticipated cash available through the combination. Evernorth also reported full participation from both advanced and delayed funders when it announced the successful shareholder vote.
Earlier transaction announcements named Ripple, Pantera Capital, Kraken and SBI among investors supporting the proposed XRP treasury company. SBI committed $200 million, while the original transaction announcement outlined expectations for more than $1 billion in gross proceeds.
Beyond accumulating XRP, Evernorth plans to allocate capital across related infrastructure and pursue strategies intended to increase XRP per share. Those plans include yield strategies, ecosystem participation and capital markets activities within an actively managed corporate treasury.
The company describes its model as a regulated public market vehicle offering investors exposure to the XRP ecosystem. Evernorth now targets October 9 for closing and October 12 for trading, with both milestones subject to outstanding requirements.
